1. About This Agreement
These Terms and Conditions (“Terms”) govern your use of the Vineyard Intelligence service and the richeykidd.com website, operated by Richey Kidd, trading as Vineyard Intelligence (“we”, “us”, “our”). By using our website or subscribing to our service, you agree to be bound by these Terms.
These Terms are governed by the laws of the Republic of South Africa.
2. Service Description
Vineyard Intelligence is an AI-powered vineyard decision support service that provides:
- Daily risk briefings delivered via WhatsApp before 06:00 each morning
- Weekly intelligence summaries every Sunday evening
- On-demand query responses via WhatsApp (weather, disease risk, spray timing, compliance)
- Automated spray event capture from WhatsApp conversations
- Compliance-ready records of spray activity
All service outputs are delivered via WhatsApp to authorised users' registered WhatsApp numbers.
3. Service Tiers and Fees

All fees are stated in South African Rand (ZAR) and are exclusive of VAT unless otherwise indicated. The setup fee is non-refundable under all circumstances, including early termination.
4. Pilot Period
The initial service period is a fixed pilot of three (3) calendar months from the effective date. At the end of the pilot period, the service terminates automatically without further notice. There is no automatic renewal. If both parties wish to continue, a new agreement will be entered into on mutually agreed terms.
5. Payment Terms
- The setup fee is due and payable before the service commences
- Monthly fees are invoiced on the 1st of each month and due within seven (7) days
- Late payments bear interest at 2% per month on the outstanding balance
- The service may be suspended if payment is overdue by more than fourteen (14) days
6. Decision Support Disclaimer
Please read this section carefully. It defines the nature of the service and the allocation of risk.
The service provides information, data analysis, risk assessments, and recommendations to assist you in making vineyard management decisions. The service is a decision support tool. It is not a decision-making service.
The service does not constitute professional agronomic, viticultural, phytopathological, or agricultural advice. The provider is not a registered agronomist, viticulturist, or agricultural advisor.
The service is intended to supplement, not replace, your own expertise, judgement, experience, and relationship with qualified professional advisors.
You retain full and sole responsibility for all vineyard management decisions, including spray programmes, timing of operations, product selection, application rates, and all other agricultural practices.
7. Limitation of Liability
Our total aggregate liability under or in connection with the service shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
We are not liable for:
- Crop damage, crop loss, or reduction in yield
- Disease outbreak, pest infestation, or vine damage
- Loss of revenue, profit, or anticipated savings
- Costs of remedial agricultural action
- Losses arising from failures or inaccuracies in third-party services
- Any indirect, incidental, consequential, special, or punitive damages
8. Third-Party Dependencies
The service relies on third-party services including Meta WhatsApp Cloud API, Open-Meteo weather data, and Anthropic AI models. We do not guarantee the availability, accuracy, or continuity of any third-party service.
Weather data is sourced from third-party forecasting services and may contain inaccuracies, delays, or gaps. We do not warrant the accuracy of weather data or any risk assessment derived from such data.
9. Service Availability
We target 99% uptime for automated daily briefings and weekly summaries. This is a reasonable endeavours commitment and not a service level agreement (SLA). No service credits, refunds, or compensation are payable for downtime.
On-demand query responses are provided on a best-effort basis. Response times may vary depending on system load and third-party service availability.
10. Termination
- Either party may terminate before the end of the pilot period with thirty (30) days' written notice via email
- WhatsApp messages do not constitute valid notice of termination
- The setup fee is non-refundable upon early termination
- Monthly fees are pro-rated to the termination date
11. Intellectual Property
We retain all right, title, and interest in the service, system, risk models, algorithms, software, and all related intellectual property. You retain ownership of all data you provide to us, including estate records, block information, spray logs, and conversation history.
12. Confidentiality
Both parties agree to keep confidential all information received from the other party in connection with the service, including commercial terms, technical details, business strategies, and client data. Confidentiality obligations survive termination for a period of two (2) years.
13. Data and Privacy
Your data is processed in accordance with our Privacy Policy and the Protection of Personal Information Act, 2013 (POPIA). Your data is stored securely, isolated per estate, and never sold or shared with other clients.
14. Website Use
By using the richeykidd.com website, you agree that:
- All content on this website is provided for general information purposes only
- We make reasonable efforts to keep information accurate and up-to-date but make no guarantees
- You will not misuse the website or attempt to gain unauthorised access to any part of it
- The onboarding form collects information necessary to set up your estate on the service
15. Governing Law and Disputes
This agreement is governed by the laws of the Republic of South Africa. In the event of a dispute, the parties shall first attempt good-faith negotiation for fourteen (14) days, followed by mediation if necessary. If mediation fails, either party may institute proceedings in the Western Cape Division of the High Court of South Africa.
16. Changes to These Terms
We may update these Terms from time to time. Active clients will be notified of significant changes via WhatsApp. The latest version will always be available on this page.
